Terms of Service
The agreement between you and us when you use FXNook AI Code Lab. Short version: your code stays yours, you pay in credits for work the Lab does, payments are final, and every trading decision stays with you.
Who we are and what these terms cover
FXNook AI Code Lab ("the Lab", at lab.fxnook.com) is operated by [Company legal name], registered at [Registered address], [Country] ("FXNook", "we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of the Lab, its website, its application, FXNook Telemetry, the downloads it produces, and any support we give you.
By creating an account, signing in, buying a plan or credits, or using any part of the Lab, you agree to these Terms and to the policies they refer to: the Privacy Policy, the Refund, Cancellation & Credits Policy, the Cookie Policy, the Risk Disclaimer and the Acceptable Use Policy. Together they are the whole agreement between you and us about the Lab. If you do not agree, do not use the Lab.
If you use the Lab for a company or other organisation, you confirm that you are allowed to accept these Terms for it, and "you" then means that organisation as well as you.
Definitions
In these Terms:
- "Account" is your FXNook Lab account and everything in it.
- "Your Code" is any file, code, strategy description, specification, log or screenshot you upload, paste or type into the Lab.
- "Output" is any code, version, report, certificate, explanation, conversion, telemetry insight or other result the Lab produces for you.
- "Job" is one piece of work you ask the Lab to do, such as building, converting, checking, fixing, changing or explaining code.
- "Credits" are the units of account used to pay for Jobs and some Telemetry features inside the Lab.
- "Plan" is the subscription level of your Account (for example Free, Starter, Pro or Advanced), with the credits, tools and limits shown on the pricing page.
- "FXNook Telemetry" is the optional service that lets your MetaTrader programs report what they do to your Lab dashboard.
- "NookForge" is the name of the FXNook AI engine that does the AI part of Jobs.
Who can use the Lab
You must be at least 18 years old and able to enter a binding contract where you live. You must not use the Lab if you are barred from doing so by law, or if we have closed an account of yours before for breaking these Terms.
The Lab is a software tool for traders and developers. It is not a broker, an investment adviser, a signal service or a fund manager, and it never trades for you.
Your account
You sign in with your email address and a password you choose. Give us accurate details and keep them up to date. Keep your password secret and use a strong one: whatever happens under your Account is your responsibility, unless it happened because of a failure on our side.
One person per Account. You may not share, sell, rent or transfer your Account, and you may not open more than one Free Account. Tell us straight away at [support email] if you think someone else has got into your Account.
We may ask you to confirm your email address, accept updated terms, or confirm a purchase before some features work.
What the Lab does
The Lab helps you write, build, convert, check, fix, change, explain and monitor MetaTrader 4 (MQL4) and MetaTrader 5 (MQL5) programs: Expert Advisors (EAs), indicators and the files they include. Depending on your Plan this includes:
- Designing a strategy and building an EA or indicator from it.
- Converting programs between MT4 and MT5, and between EAs and indicators.
- Checking code: compile checks, platform checks, safety and broker checks, an AI dry run, and a verification certificate.
- Fixing compile errors and problems the checks find, and changing code as you describe.
- Explaining code in plain words.
- FXNook Telemetry: adding a reporting library to your program and showing what it does live, with history, insights and optional daily AI summaries.
What the Lab does not promise
The Lab checks every result before you see it and lists anything it could not resolve. Even so, software and AI make mistakes. We do not promise that any Output is free of errors, works with every broker, terminal build or account type, behaves the same as the original program after a conversion, or meets your purpose.
Above all, we do not promise that any strategy or program will make money, avoid losses, pass a prop firm challenge, or perform as a backtest suggests. Read the Risk Disclaimer before you run anything live. Test every program in the MetaTrader Strategy Tester and on a demo account before using real money; the decision to trade live is yours alone.
The Lab is provided "as is" and "as available". To the extent the law allows, we exclude all warranties not set out in these Terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Your code is yours
You keep all rights in Your Code. As between you and us, you also own the Output made for you, to the extent the law allows anyone to own it. We claim no ownership of your strategies, your code, your Output or your trading results.
You give us a limited, worldwide, royalty-free permission to host, copy, process, analyse, convert, compile and display Your Code and Output only to provide the Lab to you: to run your Jobs, check results, keep your versions, show your Telemetry, keep the service secure and answer your support requests. This includes processing by the AI and infrastructure providers we use under contract. The permission ends when you delete the content or your Account, except for copies kept in backups for a short time or records we must keep by law.
We do not sell Your Code, publish it, or use it to train AI models.
You confirm that you have the right to upload Your Code and to have it changed. If it belongs to someone else, you need their permission first. You are responsible for Your Code and for how you use the Output.
Plans, credits and payment
Most Jobs are paid for in Credits. Before a Job starts, the Lab shows an estimate. While it runs, that many Credits are held; when it finishes, you are charged for the work done and the rest returns to your balance. Some Jobs and checks are free, as the Lab shows.
Paid Plans are subscriptions, billed monthly or yearly in advance, and renew automatically at the end of each period until you cancel. A Plan adds its monthly Credits to your balance; a yearly Plan is paid once and adds its Credits month by month. You can also buy Credit packs. Prices, Credits and limits are shown on the pricing page and at checkout. You pay any taxes that apply.
Payments are processed by our payment provider. We never see or store your full card details.
All payments are final and non-refundable, except as set out in the Refund, Cancellation & Credits Policy, which forms part of these Terms. Read it before you buy.
We may change prices, Credit amounts, Plan contents and limits. A change never affects a period you have already paid for. We tell you before a price change applies to your next renewal, and you can cancel before then.
Credits are not money
Credits are a licence to use the Lab, not money, e-money or a deposit. They have no cash value, cannot be exchanged for cash, cannot be transferred to another account and cannot be sold. They do not expire while your Account is open. They end when your Account is closed, and we may remove Credits obtained by mistake, fraud, a reversed payment or a breach of these Terms.
Plan limits and fair use
Each Plan has limits, such as file sizes, lines of code, uploads per minute, Jobs per day and per hour, Jobs at once and the number of live EAs FXNook Telemetry can connect. They are enforced on our servers. Trying to get round them, for example with several accounts or automated requests, breaks these Terms.
Use the Lab the way it is meant to be used. The Acceptable Use Policy lists what is not allowed. We may slow, pause or refuse Jobs that put the service or other customers at risk.
FXNook Telemetry
FXNook Telemetry is available on Plans that include it, for the number of live EAs the Plan shows. When you connect a program, it sends the events it is set up to report, such as its rules, signals, decisions, orders, trades, errors and heartbeats, to your Lab dashboard using the API token you create. Telemetry only observes: it never sends your program, your terminal or your broker an instruction, and it never places, changes or closes a trade.
You are responsible for where you run a connected program and for keeping its API token private. Anyone with the token can send data to your connection, so rotate it if you think it has leaked. History is kept for the period your Plan shows. If your Plan no longer includes Telemetry, or includes fewer live EAs than you have connected, the connections outside your Plan stop receiving new data until they are within it again; existing data is kept for the history period.
Third-party services and trademarks
The Lab works with services we do not control, such as MetaTrader terminals, brokers, payment providers, email providers and AI providers. Their own terms apply to your use of them, and we are not responsible for them.
MetaTrader, MQL4 and MQL5 are trademarks of MetaQuotes Ltd. FXNook is not affiliated with, endorsed by or sponsored by MetaQuotes, any broker, or any prop firm.
Availability and changes to the Lab
We work to keep the Lab available and your work safe, but no online service is available every minute. We may carry out maintenance, which we announce in the Lab when we can. Jobs save their progress as they go, and a Job that fails because of us is not charged.
We improve the Lab all the time and may add, change or remove features. If we remove a paid feature that is a main part of your Plan, we tell you in advance.
Suspension and closing an account
You can stop using the Lab and delete your Account at any time from Settings or by contacting us. Deleting an Account removes its projects, files and versions as described in the Privacy Policy, and any remaining Credits end without refund.
We may suspend or close an Account, stop a Job or remove content if you break these Terms or the Acceptable Use Policy, if a payment is reversed or disputed, if the law requires it, or to protect the Lab, other customers or third parties. We tell you why unless the law or security reasons prevent it. If we close an Account without a breach on your part, we refund the unused part of a prepaid Plan period.
Sections about ownership, payment, liability, indemnity and disputes still apply after an Account is closed.
Limitation of liability
Nothing in these Terms limits liability that the law does not allow to be limited, such as liability for death or personal injury caused by negligence, or for fraud.
Subject to that, and to the extent the law allows: we are not liable for any trading losses, lost profits, lost revenue, lost opportunities, lost data you could have backed up, or indirect, special or consequential losses of any kind, arising from your use of the Lab or of any Output, even if we were told they were possible.
Our total liability to you for all claims arising out of or in connection with the Lab in any 12-month period is limited to the amount you paid us in the three months before the event that caused the claim.
If you are a consumer, you have legal rights that these Terms do not affect.
Indemnity
You agree to cover our reasonable losses and costs (including legal fees) arising from a claim by a third party that Your Code infringes their rights, or from your breach of these Terms or the law, except to the extent the loss was caused by us.
Events outside our control
We are not responsible for delays or failures caused by events we cannot reasonably control, such as outages of hosting, network, AI or payment providers, attacks, natural events, or changes in law.
Changes to these Terms
We may update these Terms. If a change matters, we tell you in the Lab before it takes effect and ask you to accept the new version; the date at the top shows the version in force. If you do not agree, stop using the Lab and cancel your Plan before the change applies. We keep a record of the version you accepted.
Governing law and disputes
These Terms are governed by the laws of [Country]. If a dispute arises, please contact us first at [support email]: most problems are solved quickly that way. If it cannot be solved, the courts of [Country] have jurisdiction, but if you are a consumer you may also bring a claim in the courts where you live, and you keep the protection of the mandatory laws of your country.
General
If any part of these Terms is found invalid, the rest stays in force. If we do not enforce a right straight away, we have not given it up. You may not transfer your rights under these Terms without our consent; we may transfer ours to a company that takes over the Lab, and we will tell you if that happens. Notices to you are sent to your Account email or shown in the Lab.
